1. About these Terms
These Terms and Conditions ("Terms") govern your access to and use of the Healthy Greens website at healthygreens.co.in, the Healthy Greens plant disease diagnosis API, its documentation and related services (together, the "Services").
The Services are provided by Healthy Greens Tech Solution LLP, a limited liability partnership registered in India with its office at Bengaluru ("Healthy Greens", "we", "us" or "our").
Definitions
- "Client" or "you" means the business or organisation that registers for, subscribes to or uses the Services, and anyone acting on its behalf.
- "Client Agreement" means any separate written agreement, order form or proposal signed between you and Healthy Greens for the Services.
- "End User" means any farmer or other person who uses your application or service that integrates the Healthy Greens API.
- "Client Data" means images, location data, identifiers and any other data submitted to the Services by you or your End Users.
- "Output" means disease diagnoses, confidence scores, treatment recommendations and other results returned by the Services.
Acceptance
By accessing the website, requesting API access or using the Services, you agree to these Terms. If you accept on behalf of an organisation, you confirm that you are authorised to bind it. If you do not agree, do not use the Services.
The Services are offered only to businesses. They are not intended for direct use by individual consumers.
Order of precedence
If these Terms conflict with a signed Client Agreement, the Client Agreement prevails for that conflict.
2. The Services and API access
What we provide. Healthy Greens provides a machine-learning API that analyses plant images and returns likely disease identifications, confidence scores and related treatment information. Features, supported crops and supported diseases may change over time.
API credentials. We will issue you API keys or other credentials. You must keep them confidential and are responsible for all activity carried out with them. Tell us immediately at business@healthygreens.co.in if you suspect unauthorised use.
Usage limits. Your subscription includes the usage limits (such as request volume or rate limits) set out in your Client Agreement. We may throttle or block requests above those limits.
Availability. We will make reasonable efforts to keep the Services available in line with the uptime commitment in your Client Agreement. Scheduled maintenance, emergency fixes and events outside our reasonable control are excluded. Your remedies for missed uptime are only those stated in your Client Agreement.
Your responsibilities. You must:
- use the Services only for lawful purposes and in line with these Terms and your Client Agreement;
- give your End Users any notices and obtain any consents required by law before sending us their data, including images and location data;
- make clear to your End Users that diagnoses and recommendations are automated guidance (see Section 4);
- keep your integration secure.
Restrictions. Unless your Client Agreement expressly allows it, you must not:
- resell, sublicense, rent or share API access with any third party;
- scrape, bulk-download, store or compile Output to build a dataset, database or competing product;
- reverse engineer, decompile or attempt to extract our models, weights or training data;
- use the Services to train or improve any other machine-learning model;
- bypass usage limits, security measures or authentication;
- submit content that is unlawful, infringing or unrelated to plant health, or that contains malicious code.
Changes to the Services. We may update or improve the Services and the API. If a change materially reduces core functionality you rely on, we will give reasonable advance notice where practical.
3. Fees, billing and refunds
Subscription fee. The Services are billed as a fixed monthly subscription fee, as stated in your Client Agreement or order form. Fees are payable in advance for each monthly billing period.
Taxes. Fees exclude Goods and Services Tax (GST) and other applicable taxes, which will be added to invoices where required by law.
Payment. Invoices are payable within the period stated in your Client Agreement. If no period is stated, payment is due within 15 days of the invoice date.
No refunds. All fees paid are non-refundable, including for partial months, unused usage allowance, downgrades or early termination, except where required by law or expressly stated in your Client Agreement.
Late payment and suspension. If payment is overdue, we may suspend access to the Services after giving you written notice, until all outstanding amounts are paid. Suspension does not reduce the fees owed.
Price changes. We may change subscription fees by giving at least 30 days' written notice. The new fees apply from your next billing period after the notice period ends.
4. Data, intellectual property, disclaimers and liability
Client Data. You keep ownership of Client Data. You grant Healthy Greens a non-exclusive, royalty-free licence to use Client Data to provide, maintain and secure the Services, and to train and improve our models, as described in our Privacy Policy. Data retention and deletion follow your Client Agreement.
Your data warranties. You confirm that you have the rights, notices and consents needed, including under the Digital Personal Data Protection Act, 2023, to share Client Data with us for these purposes.
Our intellectual property. Healthy Greens owns all rights in the Services, including our models, software, API, documentation, disease library, website content, name and logo. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription, in line with these Terms. No other rights are granted.
Use of Output. You may use Output within your own application for your End Users during your subscription, subject to the restrictions in Section 2.
Feedback. If you send us suggestions or feedback, we may use them freely without obligation to you.
Important disclaimer on diagnoses and treatment advice. Output is generated automatically by machine-learning models and is provided for general guidance only. Diagnoses may be incorrect or incomplete, and confidence scores are estimates, not guarantees. Treatment recommendations, including any chemical products, dosages and timings, are not a substitute for advice from a qualified agronomist or agricultural expert. Before applying any treatment, End Users should check product labels, local regulations and expert advice. Healthy Greens is not responsible for crop loss, reduced yield, damage to crops, soil, livestock, health or the environment, or any other loss arising from reliance on Output.
No other warranties. Except as expressly stated in these Terms or your Client Agreement, the Services are provided "as is" and "as available". To the extent permitted by law, we disclaim all implied warranties, including fitness for a particular purpose, accuracy and uninterrupted operation.
Limitation of liability. To the extent permitted by law:
- Healthy Greens is not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, crops, data or goodwill;
- our total liability arising out of or relating to the Services is limited to the subscription fees you paid to us in the three months before the event giving rise to the claim.
Indemnity. You will indemnify and hold Healthy Greens harmless against claims, losses and costs arising from your breach of these Terms, your use of the Services, your End Users' use of your application, or Client Data you submit without the necessary rights or consents.
5. Term, termination, law and contact
Term. Your subscription renews each month until cancelled in line with your Client Agreement.
Termination by you. You may cancel with the notice set out in your Client Agreement. Cancellation takes effect at the end of the current billing period, and no refund is due for that period.
Termination or suspension by us. We may suspend or terminate your access immediately if you breach these Terms or your Client Agreement, fail to pay, use the Services unlawfully, or put the security or stability of the Services at risk.
Effect of termination. On termination your API credentials will be deactivated and you must stop using the Services. Client Data will be handled as set out in your Client Agreement and our Privacy Policy. Sections on fees owed, intellectual property, disclaimers, limitation of liability, indemnity and governing law survive termination.
Force majeure. We are not liable for delays or failures caused by events outside our reasonable control, including outages of cloud providers, internet failures, natural disasters or government action.
Changes to these Terms. We may update these Terms from time to time. We will post the updated version on this page with a new "Last updated" date and notify active Clients of material changes by email. Continued use after the changes take effect means you accept them.
Governing law and jurisdiction. These Terms are governed by the laws of India. The courts at Bengaluru, Karnataka, have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
General. You may not assign these Terms without our written consent. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a right is not a waiver of it.
